Article 1 - Name

The name of this organization shall be “Korean American National Republican Committee.”  It may be referred to as “KANRC” in these by-laws. The website is www.kanrc.org

 

Article 2 - Mission Statements

The object of this organization shall be to supervise, regulate and direct the Korean American (KA) Republican Committee in the US and in its territories. The Committee shall have control of and guidance over the KA constituents of the Republican Party, in the various election districts on a national, state and local level, and shall have authority to put into effect such measures that shall promote unity, harmony and advance its interests and that of its candidates.

Furthermore, “the mission of KANRC is to educate Korean Americans, not just Republican Korean Americans and the community at large   The Korean American community is now the fastest growing community in the United States. Today, Korean Americans like many other Asian Americans have the highest median household income, and the highest educational achievement among any group in the United States. Many Korean Americans are self-employed as small or large business owners.  Many KA own global business enterprises. Our Korean American community shares many similar values as Mr. Trump and the Republican Party, including hard work, education, and strong family values, all of which are the cornerstone to our success as a community.  Korean Americans immigrated to America not long ago.  As new immigrants under God’s grace, we need to acknowledge the sacrifice and hard work of the other American immigrants and our founding fathers. We must praise their achievements.  As Korean American immigrants, we need to be thankful that we are here in America. This attitude is much needed to be able to integrate Korean Americans into the mainstream society. In return, KANRC believes that Americans will also welcome us with open arms.

Additionally, as the official language of KANRC is English/Korean, we wish to target Korean American families who became Koreans and their children by marriage or naturalized Korean citizens. It would also like to connect with many people who are 1.5, 2nd and younger generation Korean Americans. There are many younger KA organizations  such as the  NetKAL (the Network of KA Leaders), the Council of Korean Americans (CKA), University student conferences like KASCON, which stands for Korean American Student Conference, Civil conferences like Grassroots Conference, an annual conference which recently convened in D.C. and organized by the Korean Americans for Civic Empowerment (KACE), Korean Americans for Political Action (KAPA), professional groups like Korean American Lawyers Association, Korea Finance Society, Korean American Associations on various college campus, etc.

It is also the mission and goal of KANRC to coordinate closely with national and local Republican offices and officials, as well as other Asian American Republican assemblies, to help Republican causes, policies, fundraising efforts and to maintain the Trump momentum. Most first and 1.5 generation Korean Americans from Korea only speak one Korean language and have only lived with one culture for over 4000 years. In this regard, we are different from other Asian Americans (i.e. Chinese, Indians, and Filipinos). These groups are made up of many subgroups who communicate using different dialects.  Thus, we feel as though Korean Americans can coalesce easier and if Korean Americans could unite, then we can have a very powerful voice, which will help to influence the Republican party.

Thus, KANRC would like to urge all its members to recommend many potential KA GOP political candidates and converts. 

 

Article 3 - Membership

Section 1. The membership of this organization shall consist of Korean American Republicans duly registered in their own districts.

Section 2. The following shall be the qualifications of executive council officers, the state committee chairmen, and members of the state Committee Executive councils:

A.            Trump Presidential and local GOP campaign records;

B.            Records of KA community service contributions

C.           Exclusion of anyone with illegal or anti-community history.

Section 3. Honorary membership will include any republicans that would help progress the mission and goals of KANRC.

 

Article 4 - The National Executive Council

Section 1. The National Executive Council shall consist of:  Chairman, Vice Chairman, Co-Chairs, Executive Director, Secretary, Treasurer, Communication Director, Finance Director, Senior Advisors and State Chairpersons.

Section 2. The National Executive Council shall meet at least once quarterly, either in person or via telephone conference.

Section 3. One half of the voting members of the Executive Council shall constitute a quorum.

Section 4. Special meetings of the National Executive Council may be called by KANRC Chairman or shall be called at the written request of not less than four members of the National Executive Council upon 30-day written notice to all the members of the National Executive Council, via either regular mail or email.  No business other than that so stated in the written notice shall be transacted as such special meeting.

Section 5. The Chairman shall determine the official depository of KANRC funds.

Section 6. The Executive Council shall approve the official signatories for all checks.  All KANRC checks and wires must be signed and/or facilitated by two (2) members of the National Executive Council i.e. the Chairman and the Treasurer.

Section 7. The Chairman may appoint a legal counsel and a Sergeant-at-Arm.

 

 

Article 5 - Election of Council Officers

The officers of KANRC shall consist of a Chairman, a Vice Chairman, a Senior Co-Chair, 3 to 4 Co-Chairs, Executive Director, Secretary, Treasurer, Communication Director, Finance Director, Senior Advisors and State Chairpersons. Terms of these officers are two years and they can only be re-elected twice.  The terms of Senior Advisors are permanent, unless otherwise terminated by a majority vote of the members of the National Executive Council.

The election of officers shall be in accordance with the following guidelines and a Quorum must be present.  The initial founding National Executive Council officers have been elected/appointed by the National Chairman in January 2017 and ratified by email voting in May of 2017.  The Initial National Chairman was elected as Dr. Daniel Jang. 

Nomination for office - A candidate for the National Executive Council must be nominated by a member of the then existing National Executive Council of KANRC and receive a qualified 2nd to that motion by another member of the National Executive Council of KANRC.

Voting - Voting for officers shall either be by email ballot or open Vocal Yes/No. To be elected, such candidate must receive a majority of the votes cast by a Quorum.

In the event of a vacancy in the office of Chairman and Vice Chairman, Senior Co-Chair of KANRC shall fill the vacancy either at the next regular meeting or at a special meeting called for that purpose, with a fifteen (15)-day notice sent to all members by either regular mail or e-mail.

 

Article 6 - Duties of Council Officers

Section 1. The Chairman shall preside at all meetings of KANRC and the National Executive Council. KANRC Chairman shall appoint the chairmen and members of each standing committee and to special committees as may be authorized.  The Chairman of shall also be an ex-officio member of all committees, standing or otherwise.

In the event of vacancies on a standing committee or special committee, the Chairman of TNKARC may fill the same by appointment.

The Chairman may appoint a Parliamentarian to serve at meetings.

Section 2. The Vice-Chairman shall assist Chairman with such duties, as he/she shall prescribe. The Vice-Chairman shall preside at all meetings in the absence of the Chairman.

Section 3. The Secretary shall keep an accurate record of the minutes of all meetings and of the National Executive Council and shall maintain the records in perpetuity. The Secretary shall keep a full and up-to-date roster, shall call the roll of officers and members when requested, and shall certify the existence of a quorum.  He/she shall send out proper notice of all officers regarding regularly scheduled council meetings.  He/she shall assist the Chairman in the preparation of the order of business to be considered at each meeting, and shall draft, collect and hold all correspondence regarding KANRC business, unless otherwise provided or ordered.

Section 4. The Treasurer shall be the custodian of KANRC funds. The Treasurer shall deposit the same in such banking institutions as the National Chairman shall authorize, and the account shall be in the name of KANRC.  The Treasurer shall be an ex-officio member of the Finance Committee, shall render an annual report, and shall report at such other times as KANRC may authorize.  The books of account shall be opened to the Chairman, officers of the National Executive Council, Finance Committee, or any other person or entity authorized by the Chairman. The Treasurer shall be responsible for preparation and filing of all financial reports and tax returns as required by law.  Such tax returns shall not be filed until approved by a majority of the officers of KANRC.

Section 5. In the absence of the Chairman and Vice-Chairman, the Senior Co-Chair shall assume the Chair, call the meeting to order and preside until a Chairman Pro-tempore has been elected. Upon the appearance of the Chairman or Vice-Chairman, the Senior Co-Chair or Chairman Pro- tempore, shall cease to preside and the Chairman or Vice-Chairman shall take over.

 

Article 7 - State Chapters/County Committees

State and county committees shall be organized under the National Executive Council.

The names of such state councils shall be called as for example, “New Jersey Korean American Republican Committee.”

The names of such County committees shall be called as for example, “NJ Bergen County Korean American Republican Committee.”

The Chairman of the National Executive Council shall initially appoint state chairpersons.  Such state chairperson shall initially appoint county chairpersons.  The organizational structure of such state and county councils shall be the same as the National Executive Council.

The qualifications for positions at state and county levels shall be: a person with all qualifications of the National Executive Council officers. The duties of the state and county council Chairman are defined as follows:

Represent the interests of the registered Korean American Republican voters in its respective state or county.

Carry out the directives of KANRC.

Support Republican candidates in each respective state and county.

Attend and support state and county Republican committees and their meetings and functions, whenever possible.

Report information obtained to local representatives and the National Executive Council regarding items of local interest.

Help locate good, qualified Republican candidates to run for city, county, state, and national office and recommend them to the national and local campaign committees.

 

Article 8 - Standing Committees

Section 1. There shall be the following standing committees under the National Executive Council: Finance, Events, Candidates, Campaigns, Publicity and Registration.

There shall be the following committees under the Fundraising Director of the National Executive Council: Finance and Events.

There shall be the following committees under the Communication Director of the Executive Council: Campaigns, Publicity, and Registration.

Section 2. Standing committee chairmen and members shall serve for a two-year period commencing with the initial organization meeting of such committee.  Standing committees shall be composed of not less than three members.  All standing committee decisions shall be by majority vote of the standing committee members.

Section 3. The Finance Committee shall prepare the annual operating budget and review the financial operations of KANRC.  They shall conduct an annual audit and prepare such financial documents as the National Executive Council shall require. The Finance Committee shall assist in any fundraisers necessary to meet the annual budget.

Section 4. The Events Committee shall be responsible for planning and organizing KANRC events.

Section 5. The Candidates and Campaigns Committee shall be responsible for identifying and recruiting Republican candidates to run for all offices in the USA. This committee shall also be responsible for all candidate training and for supporting the Republican candidates in the General Election.

Section 6. The Publicity Committee shall promote the efforts of KANRC at the National, state and local levels regarding the Republican Party membership, elected Republican officials, and with the public at large.

Section 7. The Registration Committee shall work to increase the number of registered Korean American Republican voters at national, state, and local levels.

 

Article 9 - Nominating Committee

Section 1. There shall be an Organization Meeting of KANRC’s nominating committee held within thirty (30) days after certification of the Committee Persons selected/elected by the National Executive Council officers.

KANRC Chairman shall determine the meeting date, location, and time of such meetings.

Prior to the Organization Meeting, a fifteen (15) day written notice of the meeting shall be sent to all members by either regular mail or by e-mail notification.

Section 2. The order of business at the Organization Meeting shall be as follows:

Prayer

Pledge of Allegiance

National Anthem

Roll call

Reading, changes or corrections, and approval of the minutes.

Report of KANRC Chairman

Report of the Treasurer

Election of officers

Installation of officers

 

Article 10 - Organizational Meetings

Section 1. There shall be regularly scheduled quarterly meetings per annum of KANRC.  Prior to such regular KANRC meetings, a thirty (30) day written notice of such meeting shall be forwarded to officers of KANRC by either regular mail or e-mail.  The Chairman shall determine the time and place for the meetings

Section 2. Special meetings may be held as deemed necessary by the Chairman, by a majority vote of the National Executive Council, or by a written request and call to the Secretary by one-third (1/3) of the members of KANRC stating the business of such meeting.  No business other than that specified in the written notice shall be transacted or considered at such meetings.  Thirty (30) days written notice of such meetings shall be given to such officers.

Section 3. A quorum for purposes of conducting Committee business shall consist of at least five

(5) duly elected or appointed committee persons.

Section 4. The order of business at regular meetings shall be as follows:

Article 11 - Fees and Dues

There shall be minimum dues paid to become a member of KANRC and its state/county councils as determined by the National Executive Council and the respective state and county executive councils.

All meeting expenses including meal and lodging expenses are to be paid individually by the attendees.

All campaign expenses are to be paid from the funds raised by the fund-raising events.

The respective council officers shall pay all other office expenses themselves until such time that there is a budget for such expenses.

Other expenses shall be paid by either fund-raising efforts or voluntary contributions by Executive Council officers.

 

Article 12 - Parliamentary Authority

The rules of KANRC shall be the parliamentary authority granted in all matters that are not covered by these Bylaws. Such matters not addressed in these Bylaws shall be controlled by Robert’s Rules of Parliamentary Procedure.

 

Article 13 - Amendments

Only National Executive Council officers of KANRC may propose an amendment to these Bylaws provided they are submitted in writing to the Secretary. Such amendment(s) shall be considered and voted upon at the next regularly scheduled or special meeting of KANRC and shall require a three-fourths (3/4) vote of such Quorum.  The Secretary shall provide the membership with copies of the proposed change(s) at least fifteen (15) days in advance of such meeting.

 

Article 14 - Rights and Obligations

Section 1. Any member of a committee not in good standing shall not have the right to vote or hold office.

Section 2. All members of a committee must support all nominees of the Republican Party or be subject to dismissal from such committee.

Section 3. KANRC and its officers shall give full and complete support in the General Election to all Republican candidates running for office.

AMENDED BYLAWS 2022

A. Establishing 3 vice chairpersons for the Eastern states, the Central states and the Western states divided by 3 time zones.
B. Position for the former national chairman: The Office of The Chairman of Sr. Advisors. He/she will have voting rights in all the decision making.
